Join the Europe Chapter for a presentation and networking event on the new draft Asset SPA Model Form in Aberdeen. In the wake of forming a drafting committee of over 100 members from all over the world and after the continuous development of an initial “skeleton” which was based on the “chassis” of the existing and evolving AIPN Farmout Agreement, a draft Asset SPA was presented at the AIPN Model Contracts Workshop in Vail, Colorado in September. The drafting Asset SPA co-chairs and committee are working on a revised draft to include the extensive commentary received in Vail.

The event will feature a discussion and Q&A on issues related to the Asset SPA including:

• the usual fact situation for the Asset SPA and differences with the Farmout,
• conditions precedent and longstop,
• the material adverse event,
• how purchase price is determined,
• adjustments,
• completion,
• interim period covenants,
• representations and warranties,
• limitations and liabilities,
• tax issues,
• dispute resolution,
• decommissioning, and
• the ongoing process for completion of the new model form.
