Farmout agreements are entered into for many reasons, including to mitigate exploration risk, to allow a party with specialist technical and operational expertise to join a venture, or to share the financial exposure of a work program or development project. Despite their prevalence in the industry, there is a wide variety in the terms used to document such agreements and their use for exploration, seismic, multi-well and, occasionally, development obligations raises a number of challenges, particularly in the context of a PSC environment, where it is customary to assign an interest prior to the farmee having performed its obligations.
The panelists have advised on farm-out agreements throughout Southeast Asia and the Asia Pacific region and will share their insight and experience and discuss the issues that need to be taken into account in the negotiation of such agreements from both a commercial and legal perspective.
